Zhao, Mr. Tim Yimin Liu and Mr. Ziguang Gao, to evaluate and consider the previously announced preliminary non-binding proposal letter dated December 22, 2025 (the "Proposal"). Mr. Adam J. Zhao chairs the special committee.
